VALUE OF TEAMING AGREEMENTS
The value of a teaming agreement is often overlooked by small businesses. It is our position that the teaming agreement should be viewed by you as your first opportunity to define the subsequent prime contractor - subcontractor relationship. In other words, it is the first opportunity (and perhaps the best opportunity) that you have to formally commence negotiations that will ultimately define the terms of a subsequent subcontract. This presentation will provide an overview of Teaming Agreements, Subcontracts, Non-Disclosure Agreements and Non-Competition/Non-Solicitation Agreements, including mock negotiations of a Teaming Agreement and Subcontract. This presentation will also discuss the interrelationships among these key agreements.

Mr. McMahon has over 35 years of experience with a primary focus on representation of companies which offer information technology products and services to the federal government. Mr. McMahon advises corporations and other business entities in connection with all aspects of their federal procurement business including contract award and terminations, claims, contract disputes, bid protests and prime contractor/subcontractor relationships.
Kevin R. Learned, General Counsel, P.C., Corporate Practice Group
Mr. Learned chairs the Corporate Practice Group of General Counsel, P.C. in McLean, VA. Mr. Learned's practice focuses on advising clients on general corporate and securities matters, including mergers and acquisitions, offerings of debt and equity securities, including angel, venture capital and private equity transactions, company formation and governance, commercial contracts, employment and consulting agreements, deferred compensation plans, joint ventures, and managing other complex corporate transactions. Prior to joining General Counsel, P.C., Mr. Learned was with Pillsbury Winthrop Shaw Pittman LLP, where he was a member of that firm's Corporate & Securities Technology practice group. Mr. Learned received his undergraduate degree from the George Washington University and his law degree from the University of Chicago Law School.
